Issued Share Capital and Shares

The issued share capital of the Issuer amounts to EUR 12,520,006.00 and is divided into 50,236,024

shares without nominal value. All shares in the Issuer (the "Shares") are registered and fully paid up. On

10 September 2010, 10,854,466 B shares had automatically converted into ordinary shares so that only

one class of shares remain. The Shares are issued under Luxembourg law and are subject to the relevant

provisions contained in the Articles of Incorporation and the law of 10 August 1915 on commercial com-

panies, as amended.

As at 30 September 2010, the Issuer had also issued 30,806,487 warrants.
