General Information on the Issuer and its Business
Overview
AEG PS Group is a leading provider of highly-engineered custom and standard power system solutions
for a broad range of applications with a particular focus on the solar industry.
AEG PS Group operates in two business segments: Renewable Energy Solutions and Energy Efficiency
Solutions.
Renewable Energy Solutions ("RES"): In its Renewable Energy Solutions business segment,
AEG PS Group provides power control systems and modules, solar solutions, and monitoring and
control systems for PV installations. AEG PS Group's power control systems precisely control
power for critical industrial applications, such as polysilicon manufacturing. The solar solutions
sub-segment also comprises solar inverters, the provision of turn-key solar solutions as well as ser-
vices for solar systems. In addition, AEG PS Group offers software-based solutions to monitor and
control photovoltaic systems.
Energy Efficiency Solutions ("EES"): In its Energy Efficiency Solutions segment, AEG PS
Group provides reliable custom and standard power system solutions, particularly systems for UPS
and telecom applications, that ensure continuous power for rugged industrial infrastructure applica-
tions, including oil and gas, transportation, power generation, power transmission and distribution,
and process manufacturing.
AEG PS Group operates globally with a principal market presence in Europe and Asia, and growing mar-
ket presence in the Americas, the Middle East, Russia and Africa. As at 30 September 2010 it had a total
of 1,516 employees. As of the date of this Prospectus there has been no material change in the number of
employees.
It is one of the main strategic aims of AEG PS Group to become an enabler and system solutions provider
for renewable energies and next generation power electronics solutions aimed particularly at enabling the
future smart grid. Management therefore intends to assign significant financial and personnel resources to
the development in both renewable energies and smart grid solutions.
AEG PS Group’s revenues increased from EUR 343 million in 2008 (consolidated revenues of AEG PS
Group) by EUR 39 million, or 11 %, to EUR 382 million (on a pro forma basis) in 2009. Operating profit,
however, decreased from EUR 56 million in 2008 (consolidated operating profit of AEG PS Group) by
EUR 23 million or 41 % to EUR 33 million (on a pro forma basis) in 2009. For the first nine months of
2010, AEG PS Group's revenues were EUR 211 million and gross profit EUR 59 million, down 34 % and
50 %, respectively, in comparison to the first nine months of 2009 (on a pro forma basis). For the first
nine months of 2010, AEG PS Group's order intake was EUR 243 million, up 48 % in comparison to the
first nine months of 2009 (consolidated figures of AEG PS Group).
Strategy
Management is pursuing the following strategic objectives:
Maintain its technological leadership position in the Power Control Systems and Modules sub-
segment.
Expand product offering and geographical reach in Solar Solutions sub-segment.
