The Guarantor’s consolidated financial statements as at and for the year ended 31 December 2008 under

IFRS have been audited by KPMG Accountants, independent accountants, as stated in their reports ap-

pearing elsewhere herein and are accompanied by an unqualified auditor's report, copies of which are

included in this Prospectus. KPMG Accountants is registered with the Royal Dutch Institute of Chartered

Accountants (Koninklijk Nederlands Instituut voor Registeraccountants).

KPMG Accountants has been appointed as the Guarantor's statutory auditor for the year ended 31 De-

cember 2010.

Group History and Group Structure

The Guarantor is an indirect subsidiary of the Issuer and part of AEG PS Group. For a description of the

group history, group structure and recent corporate developments of AEG PS Group see “Description of

the Issuer- General Information on the Issuer- Group History, Group Structure and Rating”.

Information on the Share Capital of the Guarantor and Applicable Provisions

Issued Share Capital and Shares

The issued share capital (geplaatst kapitaal) of the Guarantor amounts to EUR 217,817.12 and is divided

into 21,781,712 shares, each with a nominal value of EUR 0.01. All shares in the Guarantor are registered

and fully paid up. The shares are issued under the laws of the Netherlands and are subject to the relevant

provisions contained in the Guarantor articles of association and the Dutch Civil Code.

Authorised Share Capital

The authorised share capital (maatschappelijk kapitaal) of the Guarantor, including the issued share capi-

tal, amounts to EUR 400,000.00 and is divided into 40,000,000 shares, each with a nominal value of EUR

0.01.

Business of the Guarantor

The Guarantor is an indirect subsidiary of the Issuer. It is the holding company of the operational AEG PS

Group companies. The Guarantor serves as holding and administrative company to the Issuer and is re-

sponsible for the administration of its direct and indirect subsidiaries. In addition, it operates the Dutch

operational activities of AEG PS Group. For details on the business activities of the Guarantor and its

subsidiaries see “Description of the Issuer - Business of the Issuer”.

The Guarantor is part of AEG PS Group and as such subject to the legal proceedings mentioned in “De-

scription of the Issuer - Business of the Issuer - Legal Proceedings”.
