The shift of AEG PS Group's standard product manufacturing to low-cost countries bears risks.

AEG PS Group shifted its standard product manufacturing from production facilities in Western Europe

to facilities and contract manufacturers in lower-cost regions, such as Asia and Eastern Europe. AEG PS

Group invests in technical capabilities at its facilities in Malaysia, India and China in order to provide

sustainable engineering support for its planned expansion in Asia. In these countries, product manufactur-

ing may be to a greater extent susceptible to failure and interruptions, such as unanticipated power inter-

ruptions, telecommunication and/or equipment failures which could lead to significant decrease in prod-

uct quality. Moreover, AEG PS Group may face difficulties in recruiting and retaining the necessary per-

sonnel to run its operations, such as capable technicians, particularly those with expertise in the power

systems and/or photovoltaic energy industry, due to a lack of qualified technicians and other qualified

personnel in such regions. If product manufacturing in its facilities in Malaysia, India or China or contract

manufacturers in lower cost regions suffer from failure or interruption of production or should AEG PS

Group be unable to attract and retain qualified employees in these regions, this could have a material ad-

verse effect on its business, results of operations and financial condition.

A disruption of AEG PS Group's production could impair its financial performance.

AEG PS Group manages production, design and testing facilities at nine locations in Europe, Asia and the

USA. AEG PS Group may encounter interruptions in its manufacturing processes due to events beyond

its control, such as fires, explosions, strikes or violent weather conditions. Any stoppage in production at

any of its production facilities, even if only temporary, could lead to delays in delivery of products to cus-

tomers. This may reduce its revenues and earnings for the affected period or lead to increased returns,

cancellations of orders or contractual penalties and could cause AEG PS Group to lose future sales. A

disruption of AEG PS Group's production could therefore have a material adverse impact on its business,

results of operations and financial condition.

AEG PS Group's product manufacturing is subject to laws and regulations of different jurisdictions

and failure to comply could result in the imposition of fines or restrictions on operations and remedial

liabilities.

AEG PS Group's product manufacturing is subject to numerous federal, state and local laws and regula-

tions, including labour, environmental, health and safety regulations, in a multitude of jurisdictions across

its global operations. Compliance with these laws and regulations requires certain capital expenditures

and may become increasingly cost-intensive. In addition, existing laws and regulations may be revised or

reinterpreted and new laws and regulations may be adopted. Although AEG PS Group has implemented

and enforces global compliance and work safety programs, there can be no assurance that it will be found

to have complied with all applicable laws or regulations in every jurisdiction or may not become liable for

injuries or damages that may occur due to accidents on any of their premises. The relevant governmental

authorities have the right to impose fines or deadlines to cure any non-compliance or to order AEG PS

Group to cease product manufacturing if it fails to comply. Any failure to comply with laws and regula-

tions could have a material adverse impact on AEG PS Group's business, results of operations and finan-

cial condition.

Product defects or product liability claims with alleged or actual harm caused by AEG PS Group's

products could result in increased costs, damage to AEG PS Group's reputation and loss of revenues

and market share.

Although performance and quality testing is routinely executed at each of AEG PS Group's manufactur-

ing facilities prior to delivery, products may contain defects that are not detected. AEG PS Group typi-

cally encounters periodic returns of products due to non-conformity to customer specifications or product

defects, requiring it to replace such products.
