Other Guarantees

The Company has guaranteed certain bank facilities of its subsidiaries. These facilities include borrowings, re-

ceivable discounting and performance bonds. The maximum potential liability of the Company under these guar-

antees at 30 September 2010 was € 24,728,000. The actual amount drawn on these facilities, and hence the

Company’s actual contingent liability at 30 September 2010 was € 16,869,000. Of this liability € 10,000,000

relates to bridging loans secured in July 2010 by the Company’s subsidiaries in Italy for the purpose of financing

the construction of solar power generation farms. There are two such loans of €5,000,000 each, expiring in

March 2011 and April 2011 respectively

Trademark License Agreement

With effect from 1 July 2008, the Company entered into a trademark license agreement (the “AEG License”)

with AB Electrolux which granted the Company the right to use AEG PS trademark for an initial term of ten

years. An annual royalty is payable based on a percentage of the net selling price of the respective trademark

product, subject to a minimum royalty of € 2,783,000 thousands for 2010. AEG PS and Electrolux amended the

AEG license on July 27, 2010 to expand the range of products covered by the license and to set sale and mini-

mum royalty targets through 2014. The term of the license has also been extended until 2028.

Claims and contingencies

Management of the Company believes that any legal proceedings incidental to the conduct of its business, in-

cluding employee related actions, are adequately reserved against in the financial statements or will not result in

any significant costs to the Company in the future.

The Company has issued letters of support to certain subsidiaries. The group companies in receipt of letters of

support are:
